Not exactly. There is an original spin-off of 100% of the company by Pfe's divestiture because it will be an newco. The 80% rule has to be in effect because PFE will be the original owner of at least 80% of the newco.
If PFE sold more than 20% the 1st transaction would demand capital gains.
