The way I see it, Morey was the President or Overseer of the shell. It would appear that he would be able to make deals himself since he had "control" over it, but he legally did not have that right to sign off on any deal (without majority s/h'er approval) since he doesn't even own any part of AIMH. He was simply put in place by someone (still yet to be revealed) to construct a suitable/profitable R/M deal for the benefit of AIMH shareholders.
It seems he stepped out of his boundries when he constructed his own worthless deal to sell AIMH to Marchi and tried to get away from the proceeds.
Joby can confirm my statements if they are correct, but again I'm just stating my interpretation of the events. I do not know for sure. But more info should be revealed soon...
