That is a great question, and one that only speculation can plausibly answer. My speculation is that this has been(from $2.50 to .01) a planned strategy all along and insider buying on this strategy would never get them back on the Naz national market. On the other hand what did they do with the 1.2 mil in cash they just raised? That is a more plausible scenario. They could have bought the shares back, not as individual insiders but to the company.
Angel, senior executives often receive stock options as part of their compensation package. When the stock option is issued, no Form 4 is filed. When the stock option is exercised (when the option is "in the money") a Form 4 must be filed. Until that time, shareholders must rely on 10Q and 10K to track the issuance of company stock options. So in this regard, we are in the dark until March 2012 when the 10K will be filed.
* btw, executives are restricted from making open market purchases of their company's stock during a company's black-out periods, and when material news is pending.
