i dont think they needed US shareholder input on the sale...us shareholders are a minority in the equity.

and the sec filing was pretty clear - the divisions wanted out of bfar and the public us company scrutiny.

that the auditors didnt know about the sale is possible, but there's a phantom 30m floating around. its unlikely we'll hear much about now..
