According to Sept 15th 8-K submitted, the financials would be filed within 71 days of the agreement being signed. Since the agreement was signed on Sept 7th, that would mean the financials should be submitted no later than November 17th.
Consolidated Financial statements for Monkey Rock will be produced in an Amended 8K to be filed within 71 calendar days from the date following the filing of this 8K, if not sooner, as provided in Rule 8-04(b) of Regulation S-X.
Reading the Share Purchase Agreement and the amendment to it we can gather some info. The push is for the new Company (Nissi) to have all filings and audits up to date which is good for investors. It truly makes good sense not to do press releases until this is all finished. While this work is being done, it is common for things to be quiet, as we now see.
Once all audits and filings are up to date, good press releases can and should be expected... along with the name change and the ticker symbol change. (Change to Nissi Mining - then no longer Monkey Rock-MKRO)
3. The Parties have agreed to Close the transaction contemplated without the Seller complying with Section 2.05 of the Agreement, provided however, that the Shareholders/Sellers hereby warrant and represent that they will continue post-closing to provide the auditor/consultants/attorney’s and management any and all assistance necessary to enable the auditor to finalize the December 31, 2010 audit, and to complete the 3/31/11 and 6/30/11 Quarterly financials. John Anthony Dent hereby agrees to review, verify and certify to management that the 10-K and 10-Q’s for the periods listed are true and correct to the best of his knowledge and ability to induce new management to sign said reports. Nissi certifies to the Seller that the 10-K and the 10-Q’s shall be filed with the SEC within 7 days from the date the Audit is complete and delivered.

The filing was received Sept. 15. If we use that to count 71 days we would be well into Nov. 2011. But we also see it mentioned "if not sooner." If the audit work gets finished and delivered much sooner then Nissi would within 7 days file with the SEC the 10-K and the 10-Q's. To be followed by the ticker-name change and to produce some good press releases.
