No, not correct.
You're confusing the Reg D offering, which is limited to a $1mm raise, with the totality of mechanisms the company has to issue shares.
There is no "limit" beyond the limit of the number shares that are left in the share treasury. Of course, once the treasury is exhausted, then there is only one thing left for the company to do, and that would be to raise the AS.
