One issue I would like to bring to all of your attention that I do not see here is how many shares will Porter and Co. receive when this merger is completed. I see the details have not been released, but with a typical R/M the incoming company would receive at least 70% of the company. The float is 479,000,000 shares. Those would be off limits. Even if the 61 million restricted shares could be transferred to Porter, that would give him less then 10% of the company. I see they like to mention they have secured $50 million in non-dilutive financing, but they are going to have to issue at least 1 billion more shares and award them to Porter and Co. for this merger to even take place. You don't have a R/M go forward with the new company coming in unless they are issued a majority of the shares.
