Smaller firms only need to file S-1 (registration under 1933 Act). Larger firms (or small firms as they become large) need to also file 8-A to file under 1934 Act.
IDLM really, really, really needs the help of at least a part-time CFO!!! There is no way someone like me (not any sort of lawyer, much less securities lawyer) should know more about this stuff than anyone at IDLM.
And yet, in the meantime, the company keeps getting stronger and strong and cash keeps pouring in the door.
