Exactly. That way the people holding today will own basically .01% of the new company. After
The merger they will issue 100+ millions new
Shares so the new company can raise money.

This is pure speculation but I'm guessing that the merging solar company will be, Principal Solar out of Addison, Texas. ( http://www.principalsolar.com/home.html )

The main reason is that KPCG's CEO is W. Brown Glenn Jr works for a banking firm that specializes in reverse mergers called Pegasus Funds ( http://www.pegasusfunds.net/Home.html )

Peter B. Dauterman who also works for Pegasus Funds happens to be on the advisory team for Principal Solar.....so if you put 2+2 together it would make sense.

Principal Solar appears to be a privately held start up, it's CEO is Michael Gorton who was once the CEO of publicly held Solar Park Initiatives Inc.(SOPV)( http://www.solarparkinitiatives.com/home.html )

Principal Solar's strategy is "Acquiring existing solar builder/owner/operators and new technology companies in a roll-up strategy." Gorton needs funds to make these acquisitions so I have no doubt he intends to go public and I'm guessing they are merging with KPCG which is essentially just a shell.

Again this is just speculation on my part, I could very well be wrong but it will be interesting to see.
