Reading through the recent PR's, or shall I say "doing a little DD", I was able to locate this regarding 500mil restricted shares.

AppTech Finalizes Acquisition of Oronoco Telecom

Close-Up MediaAppTech Corp announced that is has closed on the acquisition of Oronoco Telecom.

The Company said Oronoco will be a separate subsidiary of AppTech Corp and will report on a consolidated basis with parent AppTech Corp. AppTech acquired Oronoco for 500 million restricted common shares of AppTech Corp.

Commenting on the conclusion of the acquisition, Daniel Miroli stated, "I am happy to become part of AppTech Corp and I enthusiastically look forward to working with Eric towards what I predict will be a bountiful future for the combined companies." Eric Ottens, AppTech's CEO added: "Oronoco has existing agreements with two significant international communication companies and I am confident that these two customers together with Oronoco's other customers will form a solid platform for an expansion of the existing customer base. We plan on making Daniel an AppTech Director and shortly he will begin launching an aggressive marketing campaign initially targeting the country of Colombia and its rich telecommunication market. Oronoco is also in negotiations to obtain an agreement with an experienced Argentine app developer. We welcome Oronoco and Daniel to the AppTech team."

First go look at the PR dated Jan 27 2011 "Apptech completes acquisition Oronoco Telecom". At the bottom of the first paragragh it states 500M restricted shares.

Next the 500M shares for Mr. Borreo will be on the 1st Q results when they come out.
