Basically, yes. I am having trouble communicating exactly what I want to say, but that is the essence of it.

I think a POSSIBLE upcoming proxy is definitely a "financial reason for the stock's recent significant decline".

So either the quoted statement from the PR is a lie, or, there is no proxy in the immediate future.

Maybe I am being narrowminded, but that is the dichotomy that I see.
