Thank you Don, it makes sense to me. It would not make sense to ignore the fact that many of the shares in the "float" are actually closely held.

I'm sure there's unanimous agreement that what I "wish to be done" should have no bearing on what you actually do. And it's already been made clear to me that some feel that my financial concerns are not broadly shared and a distant second to operational issues. But I'm sure that you, if no one else, believes that the Ibox should be clear and accurate.

The Ibox now says:
"Current Share Structure as of 2/18/2011(per Transfer Agent)

Authorized: 500,000,000

Outstanding Shares: 90,991,342

Restricted Shares: 47,699,230

Float: 43.2 million, of which 19.8 million is being closely held by mgt. Note: float was increased by restricted shares coming off restriction in the 4th quarter of 2010.
Free trading: 23.4 million
"

However, the facts as you just provided them are:
The information in bold is not "per Transfer Agent".
The number of closely held shares is not only not per the t/a, but it is also not known whether it is accurate "as of 2/18/2011".
The simple subtraction of restricted shares from outstanding does indeed result in the new float. But the explanation that the "float was increased by restricted shares coming off restriction in the 4th quarter of 2010" isn't complete. The restricted share number actually is higher than that which was reported in the Ibox previously.

These issues can be remedied, if you think that it's important to do so, with a simple phrase attributing the closely held share number to the party that actually provided it and the date on which they did so (or the "as of" date if it was provided). Or you could change "(per Transfer Agent)" to "(per Don)". And eliminate the explanation for the float increase or expand upon it with some facts.

Also, the fact that shares are closely held does not preclude them from being statistically considered to be "free trading". So, even should the 19.8mm be current and accurate, those shares are tradable. The phrase "free trading shares" only serves as a distinction from restricted shares.


It's really not about what I or you or anyone else wishes to be done. It's simply about portraying the information accurately. But I guess if the company doesn't see a need for accuracy in their otcmarkets.com company info page there's really no need for you or I to be picky about the share structure data in its Ihub Ibox, is there?
