Everyone is overlooking one small problem...
If Dean did something, anything wrong, then he not only did it to himself, but to the Company as well.
If everyone agrees that if Dean broke the Law (or Company Laws or Bi-Laws) while he was in Office at QASP, then QASP was Damaged by Dean, correct?
QASP was never "fixed" prior to Jeff stepping in, correct?
Jeff took over without fixing the problem and started this MERGER CAMPAIGN?!?!
How can Jeff take this Dysfunctional Company and "go forward" with it KNOWING that THE COMPANY is in default because of DEAN???
Example:
Dean is a Race Car Driver in a Race.
Dean can win 1 million Dollars to win this Race and his Crew, Marty and Jeff gets a cut of the Winnings.
Dean sees an opportunity to earn 10 million Dollars to Intentionally Lose this Race and the Crew gets nothing.
Last Pit Stop, Dean fills the Tank up with Tainted Fuel.
Crew, Marty and Jeff notices that Dean is Throwing the Race.
Marty screams FOUL.
Dean is disqualified and jumps out.
In an effort to still try to win, Jeff takes over on the last laps.
Jeff never makes it across the Finish Line because the car still has Tainted Fuel.
My point is this.
How can Jeff knowingly take a purportedly Tainted Company (because of Dean) into any Merger, talks of Merger, ongoing business, or ANYTHING for that matter, if the problem(s) have not been fixed???
Because Dean did many things that were illegal for Dean, it was also illegal for the Company.
Any "Deals" going forward are considered Deals made under false pretenses.
WHY?
Because JEFF KNOWS THAT DEAN FILLED THE TANK WITH TAINTED FUEL!!!
