It is a flaw with the Colorado SOS (as it is with a number of other states including IL where I am incorporated), not with the company. With the electronic age we live in, you merely need to check a box stating you're authorized to make the filing, nothing more.
I can't answer that...all I know is that Jeff is doing all he is legally capable of doing to get much more fraudulent actions on Dean's part rectified. Raising the A/S & issuing bogus preferred shares are but a minor part of what the feds are going after...IMO.
