You miss an important point.
RCCH's transfer agent would not have allowed Gendarme to violate the 5% threshold limit without placing restrictions on the RCCH shares being issued.
So Gene must have been selling RCCH shares to Gendarme in tranches. After RCCH sold one tranche, they buy another tranche.
Gene knew or should have known what was occuring.
