Illegal shares were delivered. FINRA considers the delivery of illegal shares to be fails to deliver. Give them a call, ask FINRA if the delivery of unregistered shares constitutes the legal delivery of shares.

NOT Failures to Deliver because the shares were in Fact DELIVERED.
