MY DD: 'GOOGLE MAPS' DROPPED THE BALL
on this one. I always check the address's used on 8K or 10Q's etc used for the SEC as the company office with Google Map's for the street view. In this case, I didn't see the need since TRDY is a clean shell with no bussiness. However, after reading your post and comparing the Google Map street view to the other post with the picture of a 26000sq foot building on 'loopnet' for the address '353 MAIN AVE, NORWALK, CT 06851-1508',

I decided to see why they didn't match up. So I started to research what the address's to the surrounding bussiness came up as when you googled their company. Come to find out that the address's Google Map listed for for for 'ALL' the surrounding companies didn't match with their real address either. ( NOT EVEN CLOSE). One side of the google map address '353 MAIN AVE' is a 'Midas Muffler'. Their real address is: 377 main ave.

To the left side was 'Giorgio's Upholstery'. There address is really: '363 Main Ave'. (So '353 main ave' couldn't possibably be in between 363 and 377).

I followed the google map street view down the street to see the building that is for sale on 'loopnet' as listed by another poster here. That 26000 sq foot building has a company sign on it called 'SOUND". ( Googled that and found nothing). The next building after that is EXON, real address is '347 main ave'.

Then I called infomation to find a company on 'Main Ave, Norwalk, Conn' that started with 'Sound'. They came up with Soundprints,353 MAIN AVE.
This is the same company listed on the 8K at bottom:

After re-reading the 8k the part that says:

NORWALK, CT--(Marketwire - September 7, 2010) - Trudy Corporation (OTCBB: TRDY) announced today that it had closed its previously announced transaction and sold substantially all of its assets to MMAC, LLC, which also assumed certain liabilities of Trudy.

The assets sold consisted of Trudy’s 'on-going business' as a publisher of children’s educational story and novelty books, audiobooks and plush toys. It conducted business principally under its tradenames of Soundprints, Studio Mouse and Music for Little People.

IMO, IT LOOKS LIKE 'MMAC' IS CONTINING THE OLD 'TRUDY' BUSINESS AT THE SAME LOCATION SINCE THEY PURCHASED THE ASSETS OF TRUDY AND ALL THE SAME PEOPLE THAT WORKED FOR TRUDY ARE THE SAME PEOPLE STILL THERE NOW.
I don't know why, nor can I make any since as to why they went through this. Perhaps 'MMAC' is now a private company and Burnham is selling the Trudy shell to recoup some money owed him and his investors.

NOW:
All the double talk legal jardon is hard to understand in the 10-Q that was filed in Dec.
Whoever this Stan Larson is, appears to be the new president and CFO (chief finacial officer)of the new Trudy with new officers as AS HIS NAME IS signed at the end of the 10-Q.
ON BOTTOM OF PAGE 8:

On September 3, 2010 a group of Trudy shareholders including three Directors and one other employee of the Company sold a controlling interest of Trudy for $1.00 to an individual in a private transaction who 'appointed new management and elected a new Board of Directors'.


AT TOP OF PAGE: 7 of the 10-Q it says:

Development Stage
As of September 4, 2010, Trudy is a development stage company with no current operating results and, accordingly, there is no basis on which to evaluate our ability to achieve our business objective.
There is an extremely limited basis upon which to evaluate our ability to achieve our business objective of pursuing contracts for engineering projects to design, build and own projects for re-development in war torn areas as well as re-construction in areas hit by natural disasters. Trudy will not generate any significant revenues or income until, at the earliest, after the consummation of a business combination or transaction.

MY OPINION:
SOUNDS TO ME LIKE THEY ARE TRYING TO EXPAND THEIR EXISTING BUSSINESS OR ITS PART OF THE 'START UP' PLANS.
ON PAGE 11 OF 10-Q IT SAYS:

The Company owns $165,000 in scaffolding equipment that will be used on the outside of buildings under construction to support the workers on the build. The expected useful life of the equipment is 20 years and the equipment will be placed in service on October 1, 2010. The equipment will be rented out to projects on a monthly or daily rental basis.

ON PAGE 10 OF 10-Q IT SAYS (PLEASE NOTE THE DATES):


3. Continuing Operations.

Note payable, third party, due March 3, 2011. Interest accrues at an annual rate of 15.0% on any unpaid principal and accrued interest. $165,000

Note payable, third party, due September 3, 2010. The note does not bear any interest rate and is payable on or before 'December 31, 2010'. $38,399




MY OPINION:
NOTICE THESE DATES !!! (DEC 31,2010) AND (MAR. 3, 2011) MAYBE THIS IS WHY WE HAVEN'T SEEN THE 8-K.

IT WAS PLACED IN SERVICE ON OCT. I, 2010

I GOOGLED SCAFFOLING COMPANIES IN THAT AREA AND CAME UP WITH THIS. I'M 'NOT SAYING' THERE IS A RELATION BETWEEN THE TWO COMPANIES. THIS IS ONLY TO LET SEE WHAT THAT DOLLAR AMOUNT SET UP ON JOB SITES LOOKS LIKE.
