Apache designs, manufactures, and distributes professional laser products for construction leveling and alignment applications. Closing of the transaction, anticipated in April, is subject to usual and customary closing conditions. Financial terms were not disclosed.

Trimble expects the Apache acquisition to extend its laser product portfolio for handheld laser detectors and entry-level machine displays and control systems. Apache's products set new standards for performance, accuracy, ruggedness, reliability, and repeatability in their respective markets and price ranges.

Reef had sales of $75 million in 2004 excluding royalties, and is looking forward to another year of double-digit growth in 2005. Reef is expected to contribute about $45 million to sales, be neutral to earnings per share in 2005 and accretive in 2006.

Initial orders of Identix TouchPrint Enhanced Definition 3000 Series under the contract from Kane County, which is valued in excess of $200,000, are expected to ship and be installed during Identix fiscal 2005 third and fourth quarters ending March 31, 2005 and June 30, 2005, respectively.

Mar 21, 2005 (streetinsider.com via COMTEX) --Medicis (NYSE: MRX) and Inamed Corp (Nasdaq: IMDC) announced that they have entered into a definitive merger agreement. Under the terms of the transaction, approved by both companies' boards of directors, Inamed stockholders will receive 1.4205 shares of Medicis common stock and $30 in cash for each share of Inamed common stock. Based on Medicis' closing price on March 18, 2005, and the number of Inamed shares outstanding, the merger consideration represents $75 in value per Inamed share, or a total equity value of approximately $2.8 billion.

Mar 21, 2005 (streetinsider.com via COMTEX) --Avid Technology (Nasdaq: AVID) announced that it has entered into a definitive agreement to acquire Pinnacle Systems (Nasdaq: PCLE) in a cash and stock transaction. Under the terms of the agreement, Pinnacle shareholders will receive .0869 shares of Avid stock and $1.00 in cash for each Pinnacle share. At closing, it is expected that Avid will issue approximately 6.2 million shares and pay $71.3 million in cash, for a total estimated value of $462 million.
