Eight Individuals including David Chen-Te Yen acquired 97.6% stake in Good Harbor Partners Acquisition Corp. from Ralph S. Sheridan, Paul Sonkin, William McCluskey and other shareholders for $0.45 million on June 30, 2010. Under the terms, the sellers sold a total of 35.1 million shares of common stock of Good Harbor Partners. David Chen-Te Yen acquired 25.7 million shares or approximately 71.5% of Good Harbor Partners Acquisition Corp’s outstanding common stock for $0.33 million. The source of financing was purchaser’s personal funds. Upon closing of the transaction, Ralph Sheridan, Paul Sonkin and John Mallon resigned as members of Board of Directors and David Chen-Te Yen, Wan-Fang Liu, Tzu-Yung Hsu, Ming-Cheng Lin, Syuan-Jhu Lin and Parsh Patel were appointed to Board of Directors. David Chen-Te Yen was appointed as President and the Chairman of Board of Directors and Parsh Patel as Chief Executive Officer and Secretary.
