Bonafide shells (as reported to SEC) CANNOT issue common shares for one year thru 504 or 144 stock. Therefore, Reverse Mergers into shells are sometimes difficult due to lack of funding options. BUT, as you can see, Paragon has made it happen. 8-k should come out giving details.
