This was out in Sept. of last year on OHRL, and an 8K filing yesterday confirmed change of management; still awaiting news for them saying the rest of the deal is done, and with yesterday's filing, I would speculate the news should or could be anyday now.

RENO, NV, Sep. 07, 2004 (MARKET WIRE via COMTEX) -- O'Hara Resources, Ltd. (OTC: OHRL) is pleased to announce that it has acquired fifty percent (50%) of Vision Energy Group, a Nevada Corporation. Vision Energy Group, which focuses on Energy Conservation and specializes in Renewable Energy Design and Technology, was previously a wholly owned subsidiary of Vision Energy Corporation, also a Nevada Corporation. In conjunction with the acquisition, Mr. Russell Smith has been appointed to the position of President of O'Hara Resources, Ltd. Mr. Smith and Mr. Ralph Greenberg have also both been appointed to two previously vacant seats on O'Hara Resources, Ltd.'s Board of Directors. Mr. Robert Vrooman has agreed to continue serving as O'Hara Resources, Ltd.'s Chief Executive Officer and as Chairman of the Board.

Pursuant to the acquisition agreement entered into between O'Hara Resources, Ltd. and Vision Energy Corporation by which O'Hara Resources, Ltd. has acquired fifty percent (50%) of Vision Energy Group, O'Hara Resources, Ltd. and Vision Energy Corporation anticipate a complete merger of the totality of their operations at a yet to be determined date. Upon the completion of the anticipated merger, O'Hara Resources, Ltd. will seek shareholder approval to change its name to Vision Energy Group.

O'Hara Resources, Ltd. is currently traded on the pinksheets. Its trading symbol is OHRL.
