Symantec. Symantec accounted for approximately 15%, 23%, and 27% of
Digital River’s revenue in 2001, 2002, and 2003, respectively. With the
announcement of the acquisition of VERITAS, the market has been concerned
about Symantec’s motives behind the transaction and whether Symantec
moved forward with the acquisition because of concerns related to its core
businesses—particularly consumer security. In addition to Symantec’s
acquisition of VERITAS, much has been made of Microsoft’s recent entry into
the anti-spyware market and anticipated entry into the antivirus market and its
related impact on Symantec’s business. While we do believe that Microsoft
can gradually build a solid consumer security business over the long-term, we
expect Symantec’s consumer security business to remain robust near-term, and
we do not believe that Symantec has the intention of moving off of the Digital
River platform to handle hosting/ESD functionalities in-house.
