Where is the restriction mentioned with a term of 5 years?
I have not found it on the 8-K or the EX-4.2.
Is this a private side agreement?

Otherwise, it seems as though the investor could sell the shares to another accredited investor?
Or he could register the shares -- how difficult is that? -- and then trade them?
