Perhaps if he bought the company. However voting control and ownership of all the assets does not constitute a buying of the company.
Regardless, you're going to have to come with a better explanation for someone lending a company with huge negative book value and total assets of less than $100k, $300k for stock at 10X the market price and prime plus 1 point.
Hey, if you really like the deal, average down. I think it's going to end up costing the non-CEO shareholders a lot of money.
