The Delaware has no way of knowing the OS. It is illegal for a company to issue more shares than authorized (i.e. OS > AS), but that's the company's problem, not the DE SOS.
The AS should have never been lowered to 900 mill in the first place. It was supposed to coincide with the 100-1 R/S that never happened.
