They are exactly the same thing, but in this case someone screwed up in the drafting. Whenever I've worked on one of these, I've always said it both ways -- "a 5-for-1 split, to be implemented by means of a dividend of four new shares for each issued and outstanding share," or similar language, just to eliminate possible confusion.
