understood, I have not read the articles, if the preemtive right has always been excluded, then there is no wrong doing that I know of, unless he allowed people to believe hesg was incorporated in florida under that A/S, when he may have been incorporated in another state under a new A/S. If HESG was an active corpotation in two states at once, that's big time trouble.
