VIVI- Viva Enters into Investment Banking Agreement

MIAMI, Nov 19, 2004 (BUSINESS WIRE) -- Viva International, Inc. (OTCBB:VIVI) announced that earlier today it had entered into an investment banking agreement with S. G. Martin Securities, LLC of Rocky Point, New York.

The agreement provides for retention of the S. G. Martin firm on a non-exclusive basis to assist the Company in formulating, initiating and implementing the Company's strategic business and capital formation plans and programs.

In addition, S. G. Martin will conduct a review and analysis of the Company's strategic business and prospective operations, corporate, capital and shareholder structures and immediate and future capital requirements of the Company. Martin's services are expected to include capital formation strategies and assistance to management in presentation to financial brokerage and security firms. S. G. Martin hopes to raise up to $10 million for aircraft financing commencing with initial efforts to secure SAAB 340 type aircraft under various open negotiations.

A Company spokesman indicated, "Viva is excited to be utilizing the talents and expertise of S. G. Martin to assist it in the implementation of its capital formation efforts. As part of our overall efforts, we are pleased that the engagement of the S. G. Martin firm has taken place. The Company indicated that it has other potential investment banking contracts pending and that it will continue to pursue them as it is the opinion of management that the Viva business plan can support the efforts of multiple investment banking relationships".

VIVI: Aircraft Lease Agreement Assigned to Viva

Viva International, Inc. (VIVI) announced that it had agreed to accept the assignment of an aircraft lease for a SAAB 340A s/n-073 from Bank of America (BAC) and Ford Motor Credit Company (F) as owners. The lease will be administered by State Street Bank and Trust Company.

A Company spokesman was quoted as follows, "Viva's revised strategic plan was to move towards the small commuter type aircraft. The acceptance of the assignment of an existing lease puts us in to the execution phase of building our fleet of aircraft. The Company's plan is to utilize 10 SAAB 340's as the cornerstone of our Caribbean passenger and cargo service. The Company currently plans to obtain an additional five (5) SAAB 340's through its relationship with the Bank of America/Ford Motor connection and seek to satisfy its remaining requirements through other vendors".
