I think you are correct that there will not be an immediate payoff to common shareholders in the sense of WOWGREEN putting out a tender offer or something like that.
But your scenario of buying control, tanking the PPS hard in a R/S, and then attempting to raise capital makes little sense to me.
I think you are correct on some points, but other parts of your scenario just don't hang together.
At this point, the overhang of the EESO fiasco and the overhang of the mo-mo pump promotion are two big factors weighing down this stock. IF the WOWGREEN deal closes, that will in fact be huge news. It will mean that GRBG is part of a vibrant and for-real company run by for-real players. The current market cap is way too low for this company if that happens.
