If they're(he) only looking for a license agreement, then cash infusion should only be used for normal business expenses, travel etc. There is no R&D overhead.
If it shuts down, the patent(s) are still out there and may surface sometime in the future.
The last pump didn't do too well at all, so I wouldn't bet on another one so soon to raise cash.
