Look at the definition of Insolvent. It does not matter if there is money in the bank....

insolvent Show Spelled Pronunciation [in-sol-vuhnt]

–adjective 1. not solvent; unable to satisfy creditors or discharge liabilities, either because liabilities exceed assets or because of inability to pay debts as they mature.


I believe we can agree that 250k in bank and over 1m in debt qualifies as liabilities exceeds assets.

Zenergy mis-represented the 3.8 million shares for cash deal. They now say the deal was not complete. The $570,000 deal is bogus. Zenergy IS INSOLVENT!

Zenergy International Inc (ZENG) received $570,000 as a result of a direct investment from a Third Party Investor in exchange for 3,800,000 shares. Part of this cash infusion was used to pay open liabilities and this quarter expenses for atotal of $318,711.63 and $250,852..65 remained as cash available to the business.

No, all share issuances are required to go through the TA. The 3.8 Million share restricted cert has not been issued but been accounted for in our financials.

Definition
Person or firm whose liabilities exceed the value of owned assets. It is commonly illegal for the directors of an insolvent firm to continue to trade after becoming aware of their insolvent position. If despite their knowledge of the firm's insolvent position they do not refrain from receiving goods on credit, they may be charged with fraudulent misrepresentation of facts and may become personally liable for the firm's debts. If a seller discovers the insolvent status of a buyer after making a sale, the seller can reclaim the goods within a certain period.
