yj: I think something like that is what is taking place. Two points of possible evidence there:

1) No monthly trickle financing since July...three months now. The money's gotta be coming from somewhere. If I had to guess, a first installment from Scanbuy as part of settlement to fend off any further dilution. I really do sense and think that NeoMedia's board (LM) is serious about protecting the shareholders this time around. They know folks here deserve it and I get the feeling that we have a group of good folks steering this ship. I also think that patent PR in July around the time of the MobileTag 1st license PR went a LONG way to resolving this situation. That was a solid punch right to the nose resulting in immediate tears to well up in JB's eyes. ;-) (IMO, of course).

2) The latest Scanbuy boilerplate essentially describing themselves AS NeoMedia. Is this a not so subtle hint? Writing on wall for the investment community? I think it could be otherwise I think that NEOM would be all over it...but, they're probably talking every day together during these settlement discussions so it's not like they don't know what's going there yet they're allowing it to continue.

How COULD NeoMedia possibly afford to acquire Scanbuy? What benefit WOULD NeoMedia get from a merger or whatever (I lean now more towards Scanbuy possibly becoming a wholly owned subsidiary)?

Well, first off, NeoMedia can't afford to pay any money for Scanbuy...but, in this case (JMO), they don't have to. They don't have to pay one red cent for them. It would be part of the settlement...."Scanbuy, you get to stay in business and nobody gets fired but all of your hard work now will to into our coffers and not yours." :-)

That means that the real payment for Scanbuy's past infringements will not come all at once or even via a license to them, but rather the future fruits of all of their hard labor. I'm sure a deal would be made so that the VC's are taken out of the picture w/ a profit, but that would come in time...as NeoMedia gets paid, so do the VC's until one day they're paid off and it all goes to NeoMedia (and us shareholders).

That means no more dilution and instant dollars to the bottom line of this (our) company.

Also, it would send a strong message...as strong as a win in court...to the entire world that NeoMedia does "own" this space. A total capitulation of Scanbuy and their VC's to come under the fold of NeoMedia!? HUGE!!!! And, getting their entire patent portfolio would just be a bonus...even if they really don't need them. More IP is never a bad thing.

Again, yes, I agree...NeoMedia doesn't really need anything of Scanbuy's but it sure won't hurt but rather could extremely help their (our) bottom line when it comes down to the scratch at the end of the day.

Scanbuy a wholly owned subsidiary of NeoMedia at no charge...it's the only fair settlement from my point of view.

Time will tell and I don't think it's total nonsense.
