Your question has been asked and never answered for months and months. SM used to claim to me that the A/S wasn't legal until it was filed with the SEC. But he's also said the opposite. So go figure.

I know that they raised it in December 08, did not file with SEC, and then we saw that number in the 10q (Jan 09). They issued shares based on the higher number before the 10q came out. So, they apparently thought it was legal to raise it in DE and not file anything.

And they haven't been shut down yet.
