The holders of our Common Stock and our Series A Preferred Stock are entitled to one vote per share. The holders of our Series C Preferred Stock are entitled to vote on all matters submitted to the shareholders for a vote, including the election of directors, together with the holders of our Series A Preferred Stock and the holders of our Common Stock. Currently, the holders of our Series C Preferred Stock are entitled to 3,000 votes for each share of Series C Preferred Stock they own. The holders of the Series C Preferred Stock in the aggregate have the power to cast a total of 3,000,000,000 votes and the holders of our Common Stock and our Series A Preferred Stock are entitled to cast a total of 1,644,005,209 votes. Therefore, the total votes that may be cast by all of our shareholders is 4,644,005,209.


On the Record Date, persons entitled to cast 3,000,000,000 votes (or 64.6% of total votes entitled to be cast) voted to approve the above described election of directors and other corporate actions.

On August 10, 2009, our Board of Directors and the shareholders holding a majority of the voting rights in the Company, approved an amendment to the Articles of Incorporation to increase the number of outstanding shares of our capital stock to 4,000,000,000, including 3,950,000,000 shares of Common Stock and 50,000,000 shares of Preferred Stock.
