Brian is a man lacks common sense and also lacks the strength to fix problems before they get worse. He just ignores the truth hoping the problems will go away on their own.
This is the reason why:

He did not submit the necessary paperwork to pinksheets.com when his corporation got a "TOXIC" rating. 5. He did not submit the necessary paperwork to Wyoming SOS even though it's a simple and low cost process. 6. He did not resolve the distribution issues with Oak and Flair.
Brian just lacks the natural responsiblity a business requires but he's completely devoted to his hobbies instead.
