The pharma is testing and evaluating for the purpose of negotiating a licensing agreement. If the pharma is as big as some (including myself) have speculated they probably would have preferred the MTA include a complete nondisclosure contract, but for NNVC the MTA would be a material and reportable event, so NNVC is obligated to announce at least that an MTA exists. The reason the pharma wants it quiet? First, they don't want anything announced that draws the interest of another party. Say Pfizer is the Party; would they really want to announce to Alcon that they are working with a revolutionary method for treating EKC, a billion dollar disease? All that would do is official confirm their interest and create more competition by drawing attention to something that might actually be some company much, much smaller such as Advanced Vision Research, who might be looking to expand their line of eye drops. More interest equals more competition equals a higher price for the license.
