Forgive my ignorance, NDA is an acronoym for .....? non-disclosure agreement ???

What kind of motive would be behind the suppression of the pps when a CEO is supposed to be delivering maximum shareholder value? (non corrupt - text book)

Would this be the type of scenario whereby the stock would halt pending an annoucement - then start trading again at a new value determined by A) the market or B) the value of the deal.
