These options were granted to Mr. Faulkner pursuant to the Company's 2002 Stock Incentive Plan. The options vest annually on a pro-rata basis over a three year term, however, 100,000 of the options are subject to forfeiture under certain defined conditions. This transaction is exempt from Section 16(b) pursuant to Rule 16b-3(d).
