Legitimate companies dilute, but they don't gag their TA and issue stock behind their shareholders' backs, and then tell them about it after the fact. They announce secondary offerings or private placements well in advance, along with what they plan to do with the money. What happens with these OTC/pink guys is that they just reach into their stockholders' pockets and pull out some cash whenever they feel like it.
