In the case of GVRP the company fraudulently increased the OS by backdating the filing with the SOS of Florida.
This too was illegal. Everybody looked the other way because the company had "SEC connections".
It is all about FRAUD, and not just at the company level!
The company was allowed to do a partial FS for those who sold FS shares early. The company was allowed to do an unadvertized unauthorized RS, the company was allowed to reclassify insider common shares as super common shares. All of these actions were blatently illegal and regulators stood by and assisted them by suspending the stock and then working with MMs to prevent it from trading for a month while the company then proceeded to break the law. The NASD approached the SEC and whinned on behalf of the MMs and brokers with problems. Please, it is a huge problem for us- suspend the Net Capital law, suspend the stock. bail our asses out.
