I don't get it; aren't there like 30 million shares already authorized? or is this something greater... or some other shareholder proposal?

As has been stated many times recently, it's hard to imagine a PIPE at these prices. But taking steps that might keep you in the game longer, whether or not you actually go through with it, would seemingly strengthen your negotiating posture. That's what I would be doing right now in this environment.
