Unless of course you don't believe that an acquisition is likely prior to significant further pipeline derisking. In which case a "virtual" biotech that is known to be shopping a placement makes perfect sense to short.
Further, if you happen to know that management has been unable to garner any significant partnership interest and is not currently in any meaningful discussions then the short was/is a sure bet.
