Yes to your first two questions. With regard to the third, I have to assume they represent interests beyond their own shareholding.

I think mgt does not want the r/s, they are only submitting it as a plan to keep the NASDAQ listing. I think mgt believes the pps will rise with upcoming data news and that they may cement a deal for partner that may be in the works. I think mgt is looking out for all shareholders by submitting the plan to satisfy NASDAQ. I'm a not so keen on the idea of them slipping themselves additional compensation in the vote, they need to produce what they are getting paid for as it is, they gave themselves a hefty option not too long ago...let them get the pps up and reward themselves in the same way that we will be.
