Previous Agreement with ConMed

In 2002, we formed Live Tissue Connect, Inc., a Delaware corporation, through which we will develop the tissue bonding/welding technology. We own 86% of Live Tissue Connect, Inc. In March 2005, Live Tissue Connect entered into an agreement with ConMed Corporation of Utica, New York involving a potential licensing of our technology. That agreement, and all rights and licenses granted to ConMed under that agreement, expired on May 31, 2005 without action by ConMed or us.
