They arnt issueing new stock to cover the dividend, They have sold the company interest in the BOUSE and COPPERSTONE mines for stocks in "GOLDCO". these are what we are going to recieve. The matter of restriction has not been decided yet.
The divy would be in the form of restricted shares they currently possess of "Goldco". I believe he is trying to work out a deal with Goldco regarding the restriction. If the restriction can't be released, then the remaining time left on the restriction would have to run it's course. Only after that would they become free-trading for us.
