Well, it's got me a bit confuzzled...the agreement has a list of affirmative obligations--things the company must do or trigger events of default....and negative covenants---things the co. must not do...

but this statement essentially promising shareholder approval is putting the cart before the horse...I live in Florida and know what a hanging chad is...
