I'll just say that the release clearly states a "definitive agreement" which is a contract for the deal with all of the details and conditions defined. My original post should have stated that all that remains is for each party to satisfy all of the details and conditions agreed upon in the contract which, with the final act of transfer of consideration at closing, consummates the contract.

They are beyond the "agreement in principle" that you state. They have a signed contract.

You are correct in pointing out that it isn't closed until it is closed. Projecting the probability of management execution on their stated goals is an important part of valuation of stocks.

Given their impeccable record of followthrough, I'm willing to give them the benefit of the doubt. But you're right in principle, of course. Just saying that DPDW isn't an overpromise/underdeliver kind of company, to my knowledge, thus far.
