With regard to the current SRDX Proxy...

I have decided to cast my proxy vote in favor of the SRDX BOD’s recommendation of adding Robert Buhrmaster as a new director. I have based my decision on my belief that Mr. Buhrmaster’s qualifications are well known to the SRDX nominating committee. And, on the observation that Mr. Buhrmaster has held positions of responsibility when serving on the Toro and Innovex Boards. (I am assuming that his internal Board responsibilities were assigned by peers on the respective boards and reflect respect for his abilities).

I am presuming that Kendrick Melrose, current chair of the SRDX BOD, must have gained a clear appreciation of Mr. Buhrmaster’s qualifications while he (Melrose) was CEO of Toro Co, and Buhrmaster was on the Toro BOD serving as Toro’s presiding non-management director. Similarly, Phil Ankeny (SRDX’s CFO and senior VP) should have a clear understanding of Mr. Buhrmaster’s qualifications since he has co-served with Buhrmaster on the Innovex BOD since 2004. I am assuming that the SRDX nominating committee weighed the opinions of their fellow board member and would seek Ankeny’s opinion if there were any ambiguities.

On the Toro board (1996-present), Mr. Buhrmaster was a member of the Audit Committee, Nominating and Governance Committee and the Executive Committee; he served as Toro's presiding non-management director.On the Innovex board (2004-present), Mr. Burhmaster was on the compensation committee and chair of the governance committee.
