No there is no rule saying that a company doing private placements or selling debentures etc for whatever reason, has to file anything mentioning them other than in a regular Q or K filing.

Of course when issuing new stock under S-8 or 504/505 etc they must file those.

So if it is not for acquisitions, all the new capital put into the company by investors is of no benefit to shareholders.
