Hard to tell with these 2 companies but it seems to me that they have decided to get the S-4 taken care of prior to sending the Merger documents to the TA.
He did tell me that doing so would save them from having to do his part twice. Without S-4 he would have to do his part 2 times - once restricted and then again to issue free trading!
